TIBBETT & BRITTEN ADDS TACTICAL ACQUISITIONS IN HOLLAND AND AMERICA

Tibbett & Britten, the UK based international logistics service provider, is
pleased to announce two tactical acquisitions that re-enforce its presence in
the Netherlands and North America. These acquisitions are part of its
strategy to develop in its core markets of Europe and North America through
organic growth and tactical acquisitions in selected sectors.

Tibbett & Britten, subject to the formal approval of the Dutch Government, has
acquired the transport and distribution operations of the Dutch Remijsen
group. The business operates in the grocery sector and generated revenues of
NLG 26.6 million (approx. £8 million) in the 12 months to June 1999. This
acquisition supports the Group’s continued development in Mainland Europe by
adding the grocery sector to its existing Dutch operations.

Tibbett & Britten Group North America (TBGNA) is acquiring the assets of EFL
Transportation, a California based company providing distribution services to
the Gap and a number of other retailers in Northern California.

This is the Group’s first apparel acquisition in North America, where it
already employs 10,000 people. The development reflects the increasing
emphasis being placed by TBGNA on the clothing & textiles logistics sector
following the rapid development of its grocery operations.

In addition, TBGNA announces the conditional take-over of the Fort Worth
distribution operations of Winn-Dixie. This transaction is contingent on the
Kroger Company obtaining Federal approval for its acquisition of the Texas
division of Winn-Dixie – which operates 74 stores. This move re-enforces the
existing partnership between Kroger and Tibbett & Britten.

Remijsen

Remijsen is a privately owned group based in the South West of the
Netherlands, and was originally founded in 1928. The business has 136 full-
time employees, 180 commercial vehicles and trailers, and 11,500 sq. metres of
warehousing under management at two locations.

Remijsen’s principal clients include Jamin (the confectionery division of
Dutch retail giant Ahold), A&P (the Benelux arm of German retailer
Tengelmann), Bonduelle (a French food supplier), Verduijn (a Dutch
confectionery supplier) and ZDN (the Dutch Bakery Association Network).

As well as direct operations for retailers, Remijsen is also heavily involved
in the provision of supplier collection, cross-docking and pre-consolidation
services for food and grocery suppliers. This work typically involves
consolidating deliveries from a number of manufacturers into full vehicle
loads for onward delivery into retailer regional distribution centres (RDCs)
across the country.
