Offer for InPost receives clearance from the EC
IS Iris Lux Bidco S.à r.l., the company established by Advent International, FedEx, A&R Investments and PPF Group to make the offer for InPost, has secured unconditional competition clearance from the European Commission, bringing the proposed €7.8 billion takeover a step closer to completion.
The European Commission granted clearance on 17 August 2026, leaving approval from the Vietnamese Competition Commission as the final outstanding regulatory clearance. That approval is expected by 8 September 2026.
InPost and the Offeror noted that InPost does not conduct any business in Vietnam.
The recommended all-cash offer values InPost at approximately €7.8 billion, with shareholders being offered €15.60 per share.
The consortium comprises Advent International and FedEx, which are each expected to hold a 37% stake following completion, alongside A&R Investments with 16% and PPF Group with 10%.
The transaction is intended to take InPost private. The consortium has said the deal would provide greater flexibility to pursue InPost’s growth strategy, while FedEx is expected to contribute its global logistics network and technology capabilities.
InPost’s board has recommended the offer to shareholders, while the consortium has secured commitments from major shareholders in support of the transaction.
The Offer Period remains scheduled to end at 17:40 CEST on 18 September 2026.
Other than the previously announced extension of the Offer Period, the terms and conditions of the offer remain unchanged.
The companies stressed that the latest announcement contains only selected and condensed information and does not replace the Offer Memorandum or Position Statement. Further information on the offer and its conditions is contained in those documents, including the provisions referred to in Section 6.6.5 of the Offer Memorandum.
With European Commission clearance now secured, the Vietnamese regulatory approval remains the final identified competition clearance before the offer can move towards its scheduled September conclusion.
