Astar sets deadline on ABX bid

Air freight service company Astar Air Cargo Holdings LLC said today it will withdraw its acquisition proposal for cargo airline ABX Air Inc. if the suitor does not receive a response by July 18.

On June 26, Miami-based Astar offered to acquire all outstanding shares of Wilmington, Ohio-based ABX for USD 7.75 per share. ABX Air said the proposal is an indication of interest and not a formal bid.

Both Astar and ABX Air have operating agreements with global express delivery and logistics company DHL and both companies maintain air cargo hub operations in Wilmington. The combined company would have a combined employment of about 10,000 and operate a fleet of more than 140 aircraft.

Deutsche Post reviving US air cargo ambition

Deutsche Post has quietly revived a plan to invest in the US air cargo industry which was dropped four years ago in the face of regulatory opposition.

The company last month acquired a 49 per cent stake in Miami-based Astar Air Cargo, which in turn launched an unsolicited bid for Ohio-based ABX Air. Both companies derive most of their business from long-term contracts with Deutsche Post subsidiary DHL.

The proposed deal follows years of wrangling over Deutsche Post’s role in the US air cargo business, which is subject to the same constraints over foreign ownership as passenger airlines.

DHL agreed to sell its 25 per cent stake in Astar – then known as DHL Airways – to a group of US investors in 2003 after rivals such as UPS and FedEx claimed it had broken the ownership laws.

DHL’s USD 1.05 billion purchase of Airborne Express was also subjected to similar scrutiny, and the air cargo company was spun off to shareholders and renamed ABX, while the German group kept the ground-based parcel business.

Astar, which is headed by former Northwest Airlines chief executive John Dasburg, also tried to acquire ABX in 2003, and the talks were revived last December before the Miami-based group last week made an unsolicited USD 7.75 a share proposal to acquire its rival, citing “unusual volume and pricing activity” in ABX stock.

ABX was asked to respond to a proposal which valued the company at USD 454 million. Its shares climbed 12 per cent in the wake of the announcement and were trading just above USD 8, fuelling speculation of a rival offer from management.

DHL said it expected no problems in securing regulatory backing for the two deals involving its suppliers.

ABX Air Inc. Receives Unsolicited Indication of Interest from ASTAR Air Cargo Holdings

ABX Air, Inc. today acknowledged the receipt of an unsolicited indication of interest from ASTAR Air Cargo Holdings, LLC to acquire all of the outstanding shares of ABX Air for $7.75 per share in cash. No formal offer has yet been made.
The ABX Air Board of Directors, consistent with its fiduciary duties and commitment to enhancing value for shareholders, will evaluate this indication of interest as well as any formal offer actually made. The Company will respond in due course and neither the Board nor ABX Air management will make any other comment on the indication of interest until then.
Goldman, Sachs & Co. is acting as financial advisor to the Company. O’Melveny & Myers is serving as legal counsel.
ABX Air is a cargo airline that operates out of Wilmington, Ohio, and 17 hubs throughout the United States. In addition to providing airlift capacity and sort facility staffing to DHL, ABX Air provides charter, maintenance and package handling services to a diverse group of customers. ABX is the largest employer in a several-county area in southwestern Ohio.

Lost line-haul business impacts ABX in 3Q

Losing a contract to manage over-the-road freight operations of DHL Network Operations Inc. took a bite out of ABX Air Inc.’s third-quarter profit
The company said late Thursday it earned USD6.6 million, or 11 cents a share, for the quarter ended Sept. 30, down 10.8 percent from USD7.4 million, or 13 cents a share for the same quarter a year ago. Revenue dropped 24 percent to USD281.3 million from USD369.9 million in third-quarter 2005.
DHL, a subsidiary of Deutsche Post World Net of Germany, assumed management of its line-haul business in May, which ABX previously managed, pulling the Wilmington-based company’s profit down, ABX said. This year’s third quarter includes a USD257,000 impairment charge related to the loss of that contract.
DHL’s line-haul business contributed USD74.8 million revenue for ABX during last year’s third quarter.
For the first nine months of the year, ABX reported income of USD21.1 million, or 36 cents per share, which was flat compared to last year’s earnings of USD21.2 million. Revenue fell to USD954.1 million from USD1.1 billion a year ago.

ABX Air gets ready to help Santa

At Shoreview Facility ABX Air, Inc. is gearing up for a busy holiday season and has launched a recruiting campaign to hire up to 3,000 seasonal and part-time package sorters at facilities across the U.S., including as many as 50 positions at its Shoreview, Minn. facility.

ABX Air manages and operates 19 package-sorting hubs across the country for DHL as well as three mail sorting hubs for the US Postal Service. The main hub in Wilmington, Ohio, processes nearly one million shipments each week night. System-wide, the company manages the movement of over six million pounds of freight in a 24-hour period.

Those numbers are considerably higher during the last quarter of each year with the traditional increase in holiday shipments.

“The seasonal hiring push becomes a great way for individuals to secure extra income during the holiday season,” said Valerie Scarfpin, Manager of Recruiting for ABX Air. “We already have applications coming in on our web site, but we expect a very busy holiday season and we have increased our hiring targets to accommodate the heavy package loads we expect over the next several months.”
